No Purchase or Entry Fee Required.  Making a Purchase Will Not Increase Your Odds of Winning.


1. Timing. The “Up2 You” Video Challenge: Stand Up and Share Your Voice (the “Contest”), is presented by Stand Up to Cancer (“SU2C”, or the “Sponsor”), which begins at 12:01 AM Eastern Time (“ET”) on May 27, 2010, and ends at 11:59 PM ET on August 13, 2010 (the “Video Entry Period”).

2. Overview. This is a video submission skill Contest. Interested parties may participate by uploading a video to YouTube, to share Contestant’s story and/or rendition of Dave Stewart’s “Stand Up To Cancer” anthem (the “Song”) which can be found at http://www.youtube.com/watch?v=4yxwtsVIQSQ.  All entries will be screened, and those deemed eligible will be posted on the SU2C “Up2 You” YouTube Playlist for general public viewing and later screened and ranked by a Celebrity Judging Panel selected by the Sponsor. Each entry shall be a Contestant video portrayal and/or rendition of the Song as performed by Dave Stewart and Ann Marie Calhoun in the video directed by Jesse Dylan (the “Stewart Video”) in compliance with the restrictions set forth herein. In addition to prizes listed below, all entries may be considered for potential inclusion in the September 2010 Multi-Network Broadcast Show (the “Show”).

3. Eligibility
. Contestant must be at least 18 years of age at time of entry and a legal US citizen.
The following are not eligible to participate: a) officers, directors, and employees of the Sponsor, its advertising and promotion agencies, and any other party that is directly involved with the development or implementation of this Contest; and b) the immediate family members (spouse, parents, children, siblings, and their respective spouses) of employees of the Sponsor and household members with whom they may reside (whether related or not). This Contest is void wherever it may be prohibited and/or restricted by law, and is subject to all applicable federal, state, and local laws.

4. To Enter
.  Contestants may visit www.standup2cancer.org/Up2You for complete Contest details, including access to the Song and its lyrics, basic melody, guitar chords, and orchestral arrangement, courtesy of Dave Stewart and Ann Marie Calhoun. Such site will also provide Contestant with further information on how the Contestant may submit a video entry interpreting the Song as incorporated in the Stewart Video; or a video entry using the provided music as background music for a photo or video montage depicting the Contestant’s personal connection to cancer (“Video Entry”).
Video Entries must be uploaded as a video response on YouTube during the Video Entry Period.  Entries received at http://www.youtube.com/watch?v=4yxwtsVIQSQ (the “Contest Entry Site”) before or after the Video Entry Period will be ineligible for any prize or inclusion in the Show.”

IMPORTANT: You must complete all of the following steps to submit your Video Entry for consideration in the Contest:

Step One — Upload your Video: Visit SU2C on YouTube at http://www.youtube.com/watch?v=4yxwtsVIQSQ and follow the online prompts to upload your Video Entry.  Make note of the URL associated with your upload as it is required in Step Two – Registration. Video Entries must be submitted using one of the following formats: AVI (windows); MOV (mac); MPEG; or WMV, must be no more than three and one-half minutes (03:30:00) in length, and must not exceed a 250 MB file size. Sponsor reserves the right in its sole discretion to accept or reject Video Entries that do not comply with these format, time, and length limitations.

Step Two — Registration:
Go to www.standup2cancer.org/Up2You (the “Contest Site”) and complete the registration form, providing all information requested including the link to your YouTube Video Entry, agree to these Official Rules then confirm you have gathered a personal release in the form of the document provided in Section 8 below, for each individual appearing in your Video Entry. The Registration Form and your Video Entry are collectively your “Entry.”

Step Three — Confirmation of Entry:
Once you click the "Register" button, you will see a page that confirms that your Entry has been received and submitted into a review process. Your Entry will be reviewed to ensure that it complies with these Official Rules. Please note that at this point your Entry is undergoing review, and is not yet considered a Valid Entry, as defined below, in the Contest.
SU2C will review all Entries that are submitted via YouTube, during the Video Entry Period and will only approve those Entries that conform to these Official Rules (“Valid Entry”), as determined by SU2C, in its sole discretion. Valid Entries will appear as video responses at http://www.youtube.com/watch?v=4yxwtsVIQSQ.

Each Contestant may submit only one (1) Entry. If any group of individuals elects to collaborate on an Entry, the group is required to designate one individual to enter the Contest, be responsible for getting necessary signatures from the group for required documentation, and accept the prize on behalf of the group. Such individual shall be deemed the Contestant.  Sponsor is not liable for any disputes between collaborators related to an Entry.
Once an Entry is uploaded to the Contest Entry Site it is considered final and may not be modified or edited. Entries will not be returned.

5. Judging/Judging Criteria
. The Sponsor will use reasonable efforts to contact each eligible Contestant by August 17, 2010. Contestants will be required to submit to Sponsor a copy of their original Video Entry in its original file format by August 20, 2010. If a Contestant does not comply with these Official Contest Rules, or does not respond within the timeframe set forth above, their Entry may be forfeited.

The Judging Round will be conducted by the Sponsor
, to determine the Final Winners. All eligible entries will be reviewed by SU2C’s celebrity judge panel:  Laura Ziskin, Dave Stewart and Jesse Dylan (“Celebrity Judge Panel”). The decisions of the Celebrity Judge Panel shall be final.  Valid Entries will be judged according to the following: a) Relevance to the Theme (30%), b) Originality, Creativity and Emotional/Inspirational Reaction (50%), and c) Video Quality and Clarity (20%). Ties, if applicable, shall be broken by the Sponsor by deciding how well a Video Entry depicts the Theme, all such decisions shall be in Sponsor’s sole discretion. The five (5) finalists, and fewer if insufficient Valid Entries are received, with the highest scores will be awarded the Grand Prize, First Prize and Honorable Mentions, respectively.
Pending receipt of eligible entries, winners will be announced on the Contest Website on September 1, 2010 (“Winner Announcement”).

6. Prizes
. The approximate retail value (“ARV”) of all prizes being offered is: $4,349.

The Prizes include:

·      One (1) Grand Prize Winner  a custom Takamine Guitar, (an ARV of $3,999.00) and the Grand Prize Video Entry will be featured on SU2C’s homepage and YouTube Channel (ARV: $3,999.00).
·      One (1) First Prize Winner a SU2C Prize Pack including a SU2C branded Flip Camcorder, (an ARV of $350.00) and the First Prize Video Entry will be featured on SU2C’s homepage and YouTube Channel (ARV: $350.00).
·      One (1) each Second, Third, and Fourth Prize Winner (“Honorable Mentions”) Second, Third and Fourth Prize Video Entries will be featured on SU2C's homepage and YouTube Channel.
All Valid Entries may be considered for, but not guaranteed, potential inclusion in the Show.

7. Prize Awarding
. Winners will be notified in writing (“Winner Notification”) within 3 days of the Winner Announcement. As part of the prize claim process, each Winner must sign and return an Affidavit of Eligibility, a Liability Waiver, and where permissible, a Publicity Release, within 7 days of notification. If a Winner does not comply with all requirements, or if a Winner Notification is returned as undeliverable, the applicable prize will be forfeited and may be offered to the Contestant who received the next highest score.

8. Terms/Conditions
.

Use of the Song:
By entering the Contest, each Contestant acknowledges and agrees that the performance rights of the Song are granted to Contestants in this Contest by permission of its owners solely for purposes of the Contest and no other use. Copyright of the Song and all of its elements are and remain the sole property of its owners. The permissions granted herein extend only to the use of the Song for Contest purposes and does not include the right to use any portion or contents of the Stewart Video. Any use of the Song, the Stewart Video and all of its elements other than as permitted by these Official Rules will constitute a violation of the Contest Rules and may constitute copyright infringement. The Video Entry may only be used for the purpose of this Contest and may not be used for any other purpose without prior permission from the Sponsor. All Entries become the property of Sponsor and will not be returned.

Entry Conditions.
Contestant may use any narrative and technical style, including musical, documentary, fiction, live action or animation. An Entry may be an interpretation or rendition of the Song and the Stewart Video and need not include lyrics.

By submitting an Entry, Contestant warrants and represents that: (i) he/she is the sole and exclusive owner of the copyrights to the Video Entry, other than the Song and the Stewart Video, and has obtained a release from all persons appearing in the Video Entry (SU2C approved release available here, and from all owners of property appearing in the Video Entry; and (ii) the Video Entry, or portions thereof, have not been entered in any previous competition or won any previous awards or competitions and is not subject to any lien or encumbrance; and (iii) Contestant has the full and exclusive right, power and authority  to submit the Video Entry, and to grant Sponsor the right to present the Video Entry to the public, without compensation; and (iv) no rights in the Video Entry have been previously granted to any other person, firm, corporation, or entity.

Sponsor reserves the right to disqualify any Entry at any time in the event Sponsor determines, in its sole discretion, that the Entry is offensive, inappropriate, not in keeping with Sponsor’s image or the Theme, or that a Contestant has not otherwise complied with these Official Contest Rules.

Further, Sponsor reserves the right to conduct a background check of all Contestants whose Entry makes it into the “Top 10 Finalist Round” , and to disqualify any Contestant who would not, in Sponsor’s sole discretion, be a suitable public representative of Sponsor. It shall be the Contestant’s responsibility to provide any personal information to Sponsor that it may deem necessary to conduct such background check of Contestant.  Any Contestant that is deemed to be a minor in his/her state of residence shall be required to provide written parental permission for eligibility to win a prize.
Entries must meet the following content restrictions:

·      The Entry may not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright or trademark infringement;
·      The Entry may not contain brand names or trademarks;
·      The Entry may not contain music, photos or artwork not created by Contestant (other than the Sponsor materials as provided in Section 4;
·      The Entry may not contain material that is inappropriate, indecent, obscene, tortuous, defamatory, slanderous or libelous;
·      The Entry may not contain material that promotes bigotry, racism, violence against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
·      The Entry may not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where Entry is created; and
·      The Entry may not contain any false information, any messages containing hidden or disguised meanings or any message which does not seem to fit the context of this Contest.

If the Entry contains any material or elements that are not owned by the Contestant and/or that are subject to the rights of third parties, the Contestant is responsible for obtaining, prior to submission of the Video Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor, including, but is not limited to, music (other than the Song) and images protected by copyright, trademark, patent, trade secret, right of privacy, right of publicity, and any other third party rights.

By submitting an Entry and in consideration of the opportunity to win one of the prizes described herein, which Contestant acknowledges is good and valuable consideration, Contestant acknowledges and agrees that Sponsor has the right to make copies of the Video Entries as work of authorship by Sponsor, the right to make derivative works based on the Video Entries by editing, adapting or altering in any way the Video Entry, the right to distribute and sell copies of the Video Entries, and the right to publicly perform and publicly display the Video Entries in the United States and throughout the world including use on the Internet or in any other manner of Sponsor’s choice, without attribution or further compensation. All Entries may be considered for potential inclusion in the Show. Use of an Entry by Sponsor does not suggest in any way that the Contestant is a winner.

By claiming a prize, Contestant agrees that Sponsor and its officers, employees, shareholders, affiliates, agents, and advertising and promotional agencies have no liability whatsoever whether for any injuries, losses, or damages of any kind related to Contestant’s participation in this Contest, or from acceptance or use/misuse of any prize offered or otherwise.

Acceptance of a prize shall constitute Contestant’s agreement that Sponsor, its agent(s), assigns, and/or licensees may use and/or display Contestant’s name(s), address (city, state only), likeness, biographical information, Video Entry (and content) and/or prize information, for, including without limitation, promotional purposes, without further consideration, except where prohibited by law.  Failure to comply with any requirement set forth herein may result in disqualification.

All taxes on prizes (if applicable) are the sole responsibility of the winners.

Prizes are not transferable or assignable, except to a surviving spouse, or at the sole discretion of Sponsor. In no event shall more prizes be awarded than the number stated in the “Prizes” section above, and fewer, if insufficient qualified entries are received.

Sponsor reserves the right, in its sole discretion to cancel, terminate or suspend this Contest for any reason, including if: (a) viruses, bugs, unauthorized human intervention, fraud, technical failure or other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest; or (b) earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, terrorism, disruption of the public markets, war or armed conflict (whether or not officially declared) or any other act beyond Sponsor’s control. In such event, the winners may be determined by the Sponsor, using the Final Round judging criteria from all Valid Entries received at the time of such cancellation, termination or suspension.

Disputes:
Except where prohibited by law, all disputes concerning this Contest will be governed by and construed in accordance with the laws, rules and regulations of the state of New York without regard to its choice of laws or conflict of laws provisions.

Legal Warning:
ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN CONTESTANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THE WEBSITE ASSOCIATED WITH THIS CONTEST, OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Privacy Policy. The use of personal contact information gathered in connection with this Contest will be treated in accordance with the Sponsor’s Privacy Policy, which can be found at
www.standup2cancer.org/privacy.php .

10. Winner's List
. Winner’s will be posted online at www.standup2cancer.org/Up2You, or for a hard copy of the official Winner's List, send a self-addressed, business-size, stamped envelope (after September 1, 2010, but no later than October 31, 2010), to:  “Up2 You” Video Challenge: Stand Up to Cancer, Winner Confirmation Request, c/o USSC, P.O. Box 25497, Rochester, NY 14625.

11. Independent Contest Administrator:
The US Sweepstakes & Fulfillment Company (“USSC”), 625 Panorama Trail (Bldg. 2, Suite 100), Rochester, NY 14625, an independent agent of the Sponsor who will oversee the fair administration of the Contest, and the awarding of all prizes. All decisions made by USSC will be considered final and binding.
